Introduction
This Agreement ("Agreement") is made between Preset Product Development OÜ, a company organized and existing under the laws of Estonia, with its registered office at Harju county, Tallinn, Lasnamäe district, Võru tn 11, 13612 (hereinafter referred to as "Preset Product Development OÜ" or "Provider"), and the client (hereinafter referred to as "Client").
Acceptance of Agreement
The Client is deemed to have accepted the terms of this Agreement upon the execution of an agreement, payment of the issued invoice, or the commencement of services provided by Preset Product Development OÜ. This Agreement shall be considered in force from the moment of acceptance by the Client. By engaging our services, the Client acknowledges that they have read, understood, and agreed to abide by all the terms and conditions contained in this Agreement.
Services
Preset Product Development OÜ agrees to provide the Client with services (the "Services") related to design and custom software development, as specified in relevant task orders, project descriptions, or agreements.
Payment Terms
Payment for the Services shall be based on mutually agreed terms, including time and materials, as specified in relevant task orders, project descriptions, or agreements.
Intellectual Property
Unless explicitly stated otherwise in a specific task order or project description, all intellectual property rights in any work created by Preset Product Development OÜ during the provision of Services shall belong to the Client.
Confidentiality
Preset Product Development OÜ agrees to maintain the confidentiality of the Client's sensitive and proprietary information and shall not disclose such information to any third party without the prior written consent of the Client.
Termination
Either party may terminate this Agreement by providing written notice to the other party. The notice period and conditions for termination shall be detailed in the relevant task order, project description, or agreement.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Estonia.
Force Majeure
Neither party shall be liable for any failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of nature, war, civil disturbances, or other force majeure events.
Entire Agreement
This Agreement, along with any attachments, exhibits, or supplements, constitutes the entire agreement between Preset Product Development OÜ and the Client and supersedes all prior negotiations, understandings, and agreements, whether written or oral, between the parties.
